Terms of Service

These Terms govern your access to and use of the DociShield platform and Services.
1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the DociShield platform and related services, including Secure Sharing, Contracts and Payments, Document Protection and Audit Trails (together, the "Services"). By creating an account or using the Services you agree to be bound by these Terms.
2. The Services
DociShield provides a document workflow platform that allows you to send documents, collect legally binding signatures, take payment and apply protection rules to documents across their lifecycle. The Services are made available on a subscription basis and may evolve over time.
3. Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
4. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly if you suspect any unauthorized access or use.
5. Subscriptions and payment
- Subscription fees are described on our pricing page and are billed in advance on a monthly or annual basis.
- All fees are non-refundable except where required by law or expressly stated in these Terms.
- We may change pricing for future billing periods. We will give you reasonable notice of any change.
- Usage above your plan limits is billed at the overage rates published on the pricing page.
6. Your content
You retain all rights in the documents and content you upload to the Services. You grant DociShield a limited licence to host, process and display your content solely as required to provide the Services to you and your recipients.
7. Acceptable use
You agree not to:
- Use the Services to send unlawful, fraudulent, deceptive, abusive or infringing content.
- Distribute malware or attempt to compromise the security or integrity of the Services.
- Reverse engineer, decompile or attempt to derive the source code of the Services.
- Resell, sublicense or commercially exploit the Services other than as permitted under these Terms.
- Use the Services in violation of any applicable law or third-party right.
8. Electronic signatures
Electronic signatures collected through the Services are intended to satisfy the requirements of the Electronic Transactions Act 1999 (Australia) and equivalent legislation in other jurisdictions. You are responsible for ensuring that electronic signatures are appropriate for your specific use case and for any documents that must be executed in a particular form under applicable law.
9. Payments collected from recipients
When you use Contracts and Payments, payments from your recipients are processed by our payment partner (currently Stripe). You are the merchant of record for those payments and you are responsible for complying with the payment partner's terms, applicable tax laws and any chargebacks or refunds that arise from your transactions.
10. Third-party services
The Services may integrate with third-party services. Your use of those services is governed by their own terms, and DociShield is not responsible for their availability, accuracy or content.
11. Intellectual property
The Services, including all software, design, trademarks and content other than user content, are owned by DociShield or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
12. Feedback
If you submit feedback, suggestions or ideas about the Services, you grant DociShield a perpetual, royalty-free licence to use that feedback to improve the Services without any obligation to you.
13. Suspension and termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate your access to the Services if you breach these Terms, if your use poses a security or legal risk, or if we discontinue the Services. On termination, your right to use the Services ends and you should export any data you wish to retain.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. DociShield does not warrant that the Services will be uninterrupted, error-free or meet your specific requirements.
15. Limitation of liability
To the maximum extent permitted by law, DociShield's total liability arising out of or in connection with the Services in any 12-month period will not exceed the amounts you paid to DociShield in that period. DociShield will not be liable for any indirect, incidental, special, consequential or punitive damages.
16. Indemnity
You agree to indemnify and hold harmless DociShield from any claims, damages, losses or expenses arising out of your use of the Services, your content or your breach of these Terms, except to the extent caused by DociShield's gross negligence or wilful misconduct.
17. Governing law and disputes
These Terms are governed by the laws of Australia. The courts of Australia have non-exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms or the Services.
18. Changes to these terms and contact
We may update these Terms from time to time. Where changes are material we will give you reasonable notice through the Services or by email. Continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
